  167. LIMITED DISTRIBUTION AGREEMENT

  169. Custom Software, LLC does here-by grant a non-exclusive non-transferable
  170. license to individuals and organizations to distribute the Education
  171. Edition of Erector Set for Data Form ("ESDF"), provided they
  172. convey a complete and unaltered copy of all files of this package,
  173. provided they claims no ownership of ESDF.

  175. The attached VENDINFO data record is hereby incorporated by reference.
  176. Any distribution satisfying all the distribution requirements expressed
  177. in that data record is hereby authorized.

  180. END USER LICENSE AGREEMENT

  182. 1.1 It is very important that you read the following terms and
  183. conditions before using the Educational Edition of Erector
  184. Set for Data Form ("ESDF")or ("the Product").
  185.  
  186. 1.2 This Custom Software, LLC End-User License Agreement
  187. ("Agreement") is a legal agreement between you (either an
  188. individual or a single legal entity),("Licensee") and Custom
  189. Software, LLC for the ESDF software, which includes computer
  190. software and may include associated media, printed materials, and
  191. "online" or electronic documentation ("the Product"). By
  192. installing, copying, or otherwise using the Product, you agree to
  193. be bound by the terms of this Agreement. If you do not agree to
  194. the terms of this Agreement, you may not use the Product.
  195.  
  196. 1.3 Use of the Product indicates that you accept all of the terms
  197. and conditions of this Agreement. If you have not used the
  198. Product, and do not agree with these terms and conditions, you
  199. must destroy all copies of the Product in your possession and
  200. promptly return the original diskettes, if any, and all other
  201. original material to your vendor. Please contact Custom Software,
  202. LLC if you have any questions about this Agreement.
  203.  
  204. 2.0 GRANT OF RIGHT TO USE
  205. 2.1 It is understood that this version of the Product is supplied
  206. to you for your evaluation. Custom Software, LLC. hereby grants a
  207. revocable, non-transferable, non-exclusive license authorizing the
  208. Licensee to install and use one (1) copy of the Product on a single
  209. computer. You may make one copy of the Product for backup or archival
  210. purposes in support of your use of the Product.
  211.  
  212. 2.2 This version of ESDF is for use inside of the Visual Basic
  213. 5.0* shell and is not licensed for any other use. You may not use
  214. this version of the Product to distribute the result of your
  215. efforts. For this purpose you must purchase the Professional Edition
  216. of ESDF.
  217.  
  218. 3.0 UPGRADES
  219. 3.1 Version release upgrades of the Product will be offered from
  220. time to time and will be made available to Licensees at a price
  221. and other terms to be determined at the time of release.
  222.  
  223. 4.0 PRODUCT SUPPORT
  224. 4.1 The Product is designed for use by professional programmers
  225. and is not priced to include product support.
  226.  
  227. 5.0 FURTHER RESTRICTIONS
  228. 5.1 Without prior written consent from Custom Software, LLC you
  229. may not copy, distribute, rent, lease, lend, sub-license or
  230. otherwise make the Product available to others except as expressly
  231. permitted in the LIMITED DISTRIBUTION LICENSE.

  233. 5.2 You may not reverse engineer, decompile, or disassemble the
  234. Product, except and only to the extent that such activity is
  235. expressly permitted by applicable law notwithstanding this
  236. limitation.

  238. 6.0 TERMINATION
  239. 6.1 Without prejudice to any other rights, Custom Software, LLC
  240. may terminate this Agreement if you fail to comply with the terms
  241. and conditions of this Agreement. In such event, you must destroy
  242. all copies of the Product and all of its component parts.

  244. 6.2 This license is automatically revoked 90 days after Custom Software,
  245. LLC places for downloading a newer, fully compatible version of the
  246. Educational Edition of this software on its web site,
  247. http:\\www.rapid-ware.com.
  248.  
  249. 6.3 Custom Software, LLC reserves the right to revoke this license and
  250. the rights provided herein at any time by posting notice of such
  251. revocation on the Custom Software, LLC web site
  252. http:\\www.rapid-ware.com for 90 days for more.
  253.  
  254. 7.0 COPYRIGHT
  255. All title and copyrights in and to the Product, the accompanying
  256. printed materials, and any copies of the Product are owned by
  257. Custom Software, LLC or its suppliers. The Product is protected by
  258. copyright laws and international treaty provisions. Therefore, you
  259. must treat the Product like any other copyrighted material. You
  260. may not copy the printed materials accompanying the Product.

  262. 8.0 MISCELLANEOUS
  263. 8.1 If you acquired this product in the United States, this
  264. Agreement is governed by the laws of the State of Maryland. If
  265. this product was acquired outside the United States, then local
  266. law may apply. Should you have any questions concerning this
  267. Agreement, or if you desire to contact Custom Software, LLC for
  268. any reason, please send your correspondence to Custom Software,
